The buyback represents 2.11% of the company’s existing paid-up equity share capital and will be carried out through the tender offer route using the stock exchange mechanism.
The company said the buyback price is payable in cash and the buyback will be undertaken on a proportionate basis from shareholders and beneficial owners of the equity shares. The ₹300-crore buyback size excludes transaction costs, applicable taxes, brokerage, fees, filing expenses, advisory and legal fees and other related expenses.

The board has fixed Friday, September 4, 2026, as the record date for determining the shareholders eligible to participate in the buyback. The company also noted the intention of its promoter and promoter group members to participate in the buyback.
The board or the Buyback Committee may, one working day before the record date, increase the buyback price and reduce the number of shares proposed to be bought back, provided the overall buyback size remains unchanged.
PVR INOX has constituted a Buyback Committee and delegated powers to it for matters related to the proposed buyback. Murlee Manohar Jain, Company Secretary, has been appointed as the compliance officer for the buyback.

DAM Capital Advisors Ltd, a Securities and Exchange Board of India (SEBI)-registered merchant banker, has been appointed as the manager to the buyback.
The company said the process, timelines and other details will be set out in the public announcement and letter of offer to be published in accordance with the SEBI Buyback Regulations.As of August 28, 2026, promoters and promoter group held a 27.53% stake in PVR INOX, while foreign investors held 19.82%. Financial institutions, banks and mutual funds promoted by banks or institutions held 35.03%, and other public shareholders held 17.62%.

Based on data available on the BSE, this would be the first time PVR INOX is considering a share buyback.
A share buyback involves a company repurchasing its own shares, which can reduce the number of shares outstanding and potentially boost earnings per share for continuing shareholders. Companies may undertake buybacks as a way of returning surplus cash to shareholders.
Shares of PVR INOX Ltd ended at ₹1,206.20, down by ₹14.95, or 1.22%, on the BSE.
