Prestige Hospitality Ventures withdraws IPO draft papers amid uncertain market conditions


Realty firm Prestige Estates Projects Ltd on Friday (September 25) said its subsidiary Prestige Hospitality Ventures Ltd (PHVL) has withdrawn its Draft Red Herring Prospectus (DRHP) filed with SEBI for a proposed initial public offering (IPO) of its equity shares.

“We wish to inform you that our subsidiary, Prestige Hospitality Ventures Limited (“PHVL”), filed a Draft Red Herring Prospectus dated April 24, 2025 (“DRHP”) with the Securities and Exchange Board of India (“SEBI”), the National Stock Exchange of India Limited and BSE Limited (“Stock
Exchanges”),” according to a stock exchange filing.

The board of directors of Prestige Hospitality Ventures Ltd decided to withdraw the DRHP on Friday, September 25, 2026, on account of strategic considerations and uncertain market conditions.

Prestige Hospitality Ventures Ltd had filed the DRHP dated April 24, 2025, with SEBI, the National Stock Exchange of India Ltd and BSE Ltd.

Following the board resolution, Prestige Hospitality Ventures Ltd communicated the decision to the book-running lead managers of the offer on September 25. The lead managers subsequently issued a letter to SEBI on the same day regarding the withdrawal of the DRHP.

Prestige Hospitality Ventures Ltd may consider filing a fresh DRHP with SEBI in the future for an IPO of its equity shares, subject to suitable market conditions, requisite approvals and other considerations.

“Additionally, PHVL may consider filing a fresh draft red herring prospectus with SEBI in the future for an initial public offering of its equity shares in accordance with the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, subject to suitable market conditions, receipt of requisite approvals and other considerations,” it added.

Shares of Prestige Estates Projects Limited ended at ₹1,474.70, down by ₹0.30, or 0.020%, on the BSE.
