The company signed a Business Transfer Agreement (BTA) with Kindorama Healthcare Private Ltd, which owns the hospital, on August 17, according to an exchange filing.
The acquisition will be entirely in cash and is expected to be completed within 90 days of signing the agreement. The transaction is subject to statutory and customary approvals, primarily those required for the change in ownership of the hospital.
Unlike an acquisition of a company through the purchase of its shares, Manipal Health is buying the hospital business itself, including its operations and assets. It will pay ₹130 crore for the acquisition.
Kinder Hospital has 100 beds
Kinder Women’s Hospital and Fertility Centre is located in the Doddanekundi Industrial Area of Bengaluru and is currently owned by Kindorama Healthcare.
The hospital was commissioned in 2022 and has a capacity of 100 beds.
Kinder Hospital reported revenue from operations of ₹20.75 crore for the financial year ended March 31, 2026, according to the filing.
Manipal Health said the acquisition is in line with its existing healthcare business and is expected to create further growth opportunities for the company.
The company also said the acquisition is not a related-party transaction.
The deal will be completed once the conditions specified in the Business Transfer Agreement and the necessary approvals are fulfilled.
