“In this regard, IRDAI issued an order on August 19, 2026, whereby the Company has been warned for not complying with the applicable EoM limits for the FY 2024-25 and has been directed not to open a new place of business for a period of six months from the date of the order,” according to a stock exchange filing.
The company disclosed the regulatory order on Thursday, August 20. The order was received by the company via email on August 19 at 6:08 p.m. Indian Standard Time (IST).

According to the filing, the non-compliance relates to Regulation 6 read with Regulations 10, 11 and 19 of the IRDAI (Expenses of Management, including Commission of Insurers) Regulations, 2024.
Niva Bupa said the order has no quantifiable financial impact on the company. The expected financial implication has also been stated as none in the disclosure.
The company said IRDAI had sought an explanation regarding EoM limits for FY25, following which Niva Bupa made submissions to the regulator. Niva Bupa said it is evaluating the order and will take appropriate steps to safeguard the interests of stakeholders.

The insurer also said it was in compliance with the EoM Regulations, 2024 for FY26, ended March 31, 2026, as well as for the first quarter ended June 30, 2026. It added that it is on track to ensure compliance with the regulations for the full financial year ending March 31, 2027.
Shares of Niva Bupa Health Insurance Company Ltd ended at ₹82.61, down by ₹1.43, or 1.70%, on the BSE.
