In an exchange filing, the pharma company said it has signed share transfer agreements with all individual shareholders of Gennova to acquire 663,865 equity shares, representing 12.05% of the company’s paid-up equity capital.
The acquisition will be completed for an aggregate cash consideration of ₹231.87 crore, payable in one or more tranches, and is expected to be completed on or before July 31, 2026.

Following the transaction, Emcure’s stake in Gennova will increase from 87.95% to 100%.
The company said the transaction is a related-party deal as Gennova is already its subsidiary, but added that it will be undertaken on an arm’s-length basis.
Gennova is engaged in the research, development, manufacturing and marketing of biotechnology-based products. It reported a turnover of ₹491.7 crore and a profit after tax of ₹5.4 crore for FY26.
The biotech company, incorporated in 2001, has recorded steady revenue growth over the last three financial years, with turnover rising from ₹422.1 crore in FY24 to ₹429.9 crore in FY25 and ₹491.7 crore in FY26.
Emcure said the acquisition will simplify its ownership structure by bringing Gennova fully under its control.

Shares of the company ended 1.4% lower at ₹1,789 ahead of the announcement on Monday. The stock has gained about 28% so far in 2026 and more than 32% over the last one year.
