The acquisition will be carried out through Endurance Overseas SpA (EOSpA), Endurance Technologies’ wholly owned subsidiary in Italy. EOSpA signed an amendment to the share purchase agreement on Tuesday (September 29) to bring forward the acquisition of the remaining stake, the company said in a regulatory filing.
Under the original agreement signed in December 2024, the remaining 32% stake was to be acquired in equal tranches over four financial years by June 2030. The revised agreement brings the acquisition forward, with completion taking effect immediately upon execution of the amendment agreement.
Deal brings both German companies under one owner
The €18 million cash consideration is lower than the originally agreed purchase price of €20.13 million for the 32% stake. Endurance said the transaction is being undertaken on an arm’s-length basis. It is classified as a related party transaction because the shareholders selling their stake are directors of the Stöferle entities or relatives of such directors.
The company said neither its promoter nor promoter group has any direct or indirect interest in the acquisition.
Following the transaction, EOSpA will hold 100% of both Stöferle Automotive GmbH and Stöferle GmbH. The company said full ownership will bring management, governance and operational decision-making under a single ownership structure and allow it to implement restructuring, investment and growth plans without minority shareholder considerations.

What the Stöferle businesses do
Stöferle Automotive GmbH manufactures machined aluminium castings for automotive applications. It reported turnover of €76.4 million for the financial year ended March 31, 2026, compared with €79.4 million in 2024 and €72.1 million in 2023. The company was incorporated on August 12, 2011.Stöferle GmbH is involved in machining aluminium castings for automotive applications and producing computer numerical control machines for captive use. Its turnover stood at €16.9 million in the year ended March 31, 2026, compared with €17.1 million in 2024 and €17.2 million in 2023. It was incorporated on November 20, 1992.
No governmental or regulatory approvals are required for the acquisition, according to the filing.
