Physicswallah Block Deal: 1.6% equity worth ₹550 crore changes hands

Physicswallah to acquire additional 11% stake in Sarrthi IAS for ₹72 crore


Lightspeed Opportunity Fund sold a 1.6% stake in PhysicsWallah for about ₹550 crore in a block deal on the NSE on Wednesday, with ICICI Prudential Mutual Fund, Goldman Sachs Fund and Tata AIA Life Insurance among the buyers.

The transaction involved 4.7 crore PhysicsWallah shares and was executed at an average price of ₹117.72 apiece.

ICICI Prudential Mutual Fund was the biggest disclosed buyer, purchasing 2.2 crore shares, or about 0.8% of the company, for ₹259 crore.

Goldman Sachs Fund bought 61.23 lakh shares, equivalent to a 0.2% stake, for ₹72.1 crore, while Tata AIA Life Insurance acquired 33.98 lakh shares, or 0.1%, for ₹40 crore.

The three disclosed buyers together picked up about 3.15 crore shares, accounting for roughly two-thirds of the shares sold by Lightspeed in the transaction.

Promoter entities held 71% of PhysicsWallah at the end of the June quarter, while public shareholders owned the remaining 29%, according to exchange data.

The block deal comes weeks after PhysicsWallah reported a narrower first-quarter loss, helped by higher revenue. Its consolidated net loss fell to ₹77.6 crore from ₹120.5 crore a year earlier, while revenue rose to ₹1,054 crore from ₹847.1 crore.

Operating performance was weaker, however. EBITDA declined to ₹56.9 crore from ₹76.3 crore in the year-earlier period.PhysicsWallah has also been expanding through acquisitions. Last month, its board approved the purchase of an additional 11% stake in Guiding Light Education Technologies Pvt. Ltd., which operates Sarrthi IAS, for ₹71.81 crore.

The edtech company had entered into agreements with Sarrthi IAS and its promoters on September 2, 2025, to acquire as much as 85% of the company’s fully diluted share capital in six tranches through fiscal 2031.

PhysicsWallah shares ended the previous session little changed at ₹121.40. The stock has fallen 1.4% over the past month and is down 8.5% so far this year.
