The company said the acquisition will be executed through definitive agreements. VDA Infosolutions will become a subsidiary of Rashi Peripherals following completion of the transaction.
The deal is part of a staggered structure, under which 67% stake will be acquired in the first tranche, followed by the remaining 33% in three equal annual tranches of 11% each. These subsequent tranches are scheduled by August 31, 2027, August 31, 2028, and August 31, 2029, with full 100% acquisition expected by August 2029.

VDA Infosolutions, incorporated in 2010 and based in Mumbai, operates in enterprise technology and digital solutions, including cloud technology, cybersecurity, data protection, virtualisation, storage, IT consulting services, DevOps, and infrastructure management and transformation services.
As per provisional financials for FY26, the company reported a net worth of ₹234.22 crore, turnover of ₹850 crore, and total assets of ₹427.43 crore. Its aggregate income stood at ₹772 crore in FY24, ₹1,035 crore in FY25, and ₹850 crore (unaudited) in FY26.
Rashi Peripherals said the acquisition aligns with its core IT products distribution business and provides a strategic opportunity for forward integration in enterprise technology and digital infrastructure solutions.

The company also noted that the transaction is not a related party deal, and no promoter or promoter group entity has any interest in VDA Infosolutions. The consideration will be fully paid in cash through cheque or bank transfer. No regulatory or governmental approvals are required for the acquisition.
Shares of Rashi Peripherals Ltd ended at ₹731.05, down by ₹30.30, or 3.98%, on the BSE.
