Samvardhana Motherson International, in an exchange filing, said its board has approved the purchase by its wholly-owned subsidiary Smavardhana Motherson Adsys Tech (SMAST), of 50.1% equity stake in Rotary Connectors. The same is subject to satisfactory completion of conditions precedent, it said.
Post completion of the transaction, SMAST will hold 50.1% of the equity share capital in Rotary Connectors. Hence, the latter will become an indirect subsidiary of Samvardhana Motherson International.
The promoters of Rotary Connectors will continue to hold 49.9% equity stake in it.

Rotary Connectors is in the business of manufacturing military grade circular connectors and interconnection solutions with diversified applications, including in the aerospace and defence sector. The company’s turnover in the financial year 2026 was ₹123.5 crore. It has three manufacturing facilities in Bengaluru.
The exchange filing stated that the strategic partnership supports Motherson Group’s vision of diversifying and scaling its aerospace and defence business vertical, particularly in the electrical wiring interconnect system field. Also, Motherson’s established footprint in the vertical, along with its geopgraphic reach and customer access, can potentially be leveraged to accelerate the growth of the acquired business, it added.
Shares of Samvardhana Motherson International were trading 0.4% lower at ₹161.89 apiece at 12.33 pm on Monday. The stock has fallen 4.4% in the past month but is up 32.2% this year, so far.Also Read: Dilip Buildcon bags ₹1,265 crore transmission project in Maharashtra; shares gain
