VRL Logistics’ share buyback offer will open on October 27 and close on November 2, with the company proposing to repurchase up to 87.5 lakh equity shares at ₹320 apiece, according to its letter of offer filed on Saturday, October 24.
The buyback represents 5% of the company’s paid-up equity share capital as of March 31, 2026. The company will spend up to ₹280 crore on the offer, excluding transaction costs. The record date to determine eligible shareholders was October 22.
VRL Logistics said the buyback is aimed at returning surplus cash to shareholders and improving returns. “The current Buyback proposal is in line with the Company’s capital allocation practices of returning excess cash to shareholders, thereby increasing shareholder value in the longer term, and improving the Return on Equity,” it said in the letter of offer.
The promoter and promoter group have decided not to participate in the buyback.
Small shareholders have an indicative entitlement of 14 shares for every 99 shares held on the record date, while other eligible shareholders have an indicative entitlement of 19 shares for every 154 shares held. Shareholders holding up to 750 shares on the record date have been classified as small shareholders.
The offer will be carried out through the tender offer route on a proportionate basis, subject to the reservation for small shareholders. The last date for settlement of bids and payment to eligible shareholders is November 9.
VRL Logistics said the buyback will be funded from free reserves or other permitted sources, and that borrowed funds from banks and financial institutions will not be used.
