The investment was made through the acquisition of equity shares of Godrej Investment for cash, based on a valuation report. The transaction was with a related party and was carried out on an arm’s-length basis, the company said.
Godrej Investment was incorporated on January 5, 2026 and became a wholly owned subsidiary of Godrej Industries on the same day. It will continue to remain wholly owned by the company following the latest investment.
Godrej Investment is an unregistered Core Investment Company that holds equity shares in Godrej Capital Ltd and Godrej Wealth & Asset Management Ltd.
Its paid-up share capital currently stands at ₹43.79 lakh. The company reported consolidated income of ₹2,477.72 crore for the period from January 5 to March 31, 2026.
Godrej Industries said the investment is within the overall limit approved by shareholders for investments in Godrej Investment under Section 186 of the Companies Act, 2013. The acquisition has been completed.
Godrej Industries sells 0.50% stake in Godrej Consumer
Separately, Godrej Industries said on September 24 that it had sold a 0.50% stake in Godrej Consumer Products Ltd through an open-market transaction for ₹450.12 crore.
The sale was completed on September 24, following which Godrej Industries continues to hold 23.23% of Godrej Consumer Products’ equity share capital. Godrej Consumer Products remains an associate company of Godrej Industries.
As of March 31, 2026, Godrej Consumer Products accounted for ₹3,989.08 crore, or 35.69%, of Godrej Industries’ consolidated net worth. Its contribution to consolidated turnover, income or revenue was nil.
Shares of Godrej Industries closed at ₹1,100 on the NSE on September 25, up 0.09%, or ₹1, from the previous close.
