Reliance Industries (RIL)-backed Jio Platforms filed its Red Herring Prospectus (RHP), setting the valuation at over Rs 10 lakh crore. The digital and telecom subsidiary, Jio Platforms, has emerged as one of the most consistent growth drivers for RIL. The share price of Reliance Industries closed 3.44 per cent higher at Rs 1,215 on the NSE, while it surged as much as 3.76 per cent to Rs 1,218.80. With the listing of Jio Platforms, RIL is likely to present an exceptionally strong, asymmetric risk-reward setup following an extended two-year price and time correction, said analysts.
IPO listing erases holding company discountBuilding exposure in RIL at current levels enables investors to secure full participation in Jio’s value discovery while retaining 100% upside in RIL’s other mega-engines—Retail, O2C, and New Energy, said Religare Broking in a research note.
Historically, conglomerate stocks carry a persistent holding-company discount due to opaque segment valuations and internal capital allocation of ambiguity. Listing Jio establishes an independent, quoted market price for RIL’s largest growth asset. This provides unquestionable transparency to RIL’s Sum-of-the-Parts (SOTP) structure and directly triggers structural compression in the conglomerate discount.
“Initially, Jio’s listing could create positive sentiment around RIL because it removes some of the valuation uncertainty surrounding one of its largest growth businesses,” said Paresh N Bhagat, MD & Chairperson of Mangal Keshav Financial Services.
Institutional equity markets consistently discount major corporate catalysts before formal execution. Waiting for the official debut trading day risks missing the primary leg of multiple expansion, added Religare Broking.
Preserving controlling stake
RIL holds 5,937,841,645 equity shares, or 66.43 per cent, of Jio Platforms ahead of the issue. Because the IPO is structured as a 100% fresh issue of up to 270,000,000 equity shares with no Offer for Sale (OFS), RIL is not selling any of its shares.
Also, listing Jio Platforms establishes a transparent, public-market valuation for RIL’s digital services arm, unlocking substantial holding value for RIL shareholders without diluting RIL’s operational or board control.
Reserved IPO allocation for employees
The IPO includes a dedicated RIL shareholders reservation quota aggregating up to Rs 2,500 crore. Individual public equity shareholders and HUFs (Hindu Undivided Family) holding shares in RIL as of the Red Herring Prospectus filing date are eligible.
Also, there are no multiple bidding restrictions. Eligible RIL shareholders can apply in this reserved portion (up to Rs 2 lakh) while simultaneously bidding in the Retail or Non-Institutional Portion without their applications being treated as multiple bids.
